Standard Freight Policy – Effective as of February 1, 2022

Valves, Pipe, Fittings, & Equipment

Freight will be allowed on the following orders:

1. $ 3,500.00 Net or greater for valves.*
2. $ 10,00.00 Net or greater for single wall pipe and fittings.
3. $ 5,000.00 Net or greater for actuators only.
* Combined orders of valves and pipe must meet requirements of pipe orders to qualify for freight allowed.

Freight will be allowed on the following orders for Alaska, Hawaii, and Puerto Rico:
1. $ 5,000.00 Net or greater for valves.
2. $ 25,000.00 Net or greater for single wall pipe and fittings.

The following shipments are NOT freight allowed:

1. International orders
2. All HDPE products excluding Air-Pro®, Chem Proline®
3. Pipe coils
4. All welding machines and equipment (rented and purchased)*
5. Prefabricated pipe spools
6. EM-Technik™ products
7. Dymatrix™ specialty valves
8. Polytetra™ heat exchangers & heaters
9. All dual wall pipe and fitting orders
10. Leak detection equipment
*Customer pays freight from factory to the jobsite and back to the factory. No exceptions. Asahi will attempt to combine machines with freight allowed orders, but won’t guarantee this service.

NOTES:

– All truck shipments are via common carrier and are to be selected by Asahi/America, Inc.
– Selection of alternate carriers is negotiable between interested parties and Asahi/America, Inc.
– Freight charges for expedited portions of freight allowed shipments are the responsibility of others.
– Freight charges on freight allowed backorders will be paid by Asahi/America, Inc.
– Freight for add-ons and releases will not be allowed.
– Returns of rental equipment must be prepaid.
– Freight will not be allowed on oversized loads, and non-standard lengths of pipe, etc.
– International orders must include contact name, telephone or fax number, and international freight account number.

Terms and Conditions

Shipments: Asahi/America will not be liable for any delay in performance of orders or contracts, or in delivery of shipment of goods, or for any damage suffered by buyer by reason of such delay performance, when such delay is directly or indirectly caused by acts of God, war, labor difficulties, shortage of materials, or supplies beyond its control. Asahi/America reserves the right to discontinue products and make changes in products offered at any time.

Claims: All claims must be made in writing and received by Asahi/America within 10 days after receipt of merchandise. If a shipment is received in damaged condition, a claim must be filed with the delivering carrier and noted on the freight bill before you accept the merchandise.

Returns and Cancellations: Refer to our policy here.

Terms: 2% 15 days. Net 30 days. An interest charge of 1-1/2% percent per month (an annual rate of 18%) will be charged in states where legal on the unpaid balance owed together with cost of collection including reasonable attorney’s costs.

Minimum Billing Charge: Asahi/America will charge a $75.00 net minimum order requirement on all orders. Any tax or duty imposed by any government will be added to the sales price.

RMA Form and Return Policy

Note: Asahi/America will only accept product returns from authorized distributors. If you need to return an Asahi/America product, please consult the distributor you made the purchase from for their return policy.

Note: All material must be returned within 60 days from issuance of RMA. Failure to return product within that time frame will not be accepted.

All material must be returned within 60 days from issuance of RMA. Failure to return product within that time frame will not be accepted.

Standard Rental Equipment Policy – Effective as of October 26, 2022

I. NEW RENTAL

Distributor Responsibility to:
  • Issue a written purchase order to include: rental rate, start date, and estimated usage.
  • Distributor to sign and return the  Proweld Rental Agreement. Machines will not ship until Asahi/America receives this document.
  • Customer absorbs all freight to and from jobsite (unless it is able to ship with a freight-allowed pipe order).
  • Place orders for machines at the time the material is ordered.
Asahi/America’s Responsibility to:
  • Ship machine within five working days from receipt of order, if available.
  • Advise distributor in writing of any delays in shipment.
  • Supply all machines with:
    • Operating instructions
    • Power requirements
    • Checklist of items sent
    • Consumable items (i.e., extra blades, ribbon, ink, etc.) may need to be reordered at customer’s expense.

II. MACHINE TRANSFERS (Site to Site)

The transfer of equipment from one job site to another is not recommended and should be avoided unless there is an emergency situation. Prior approval is required and use of the following procedure should be followed when transferring equipment:

Distributor Responsibility to:
  • Notify Asahi/America rental department of your intentions.
  • Provide all pertinent serial numbers and the last billing date for the current rental period.
  • Evaluate the machine for damages, missing parts, and functionality notifying your customer and Asahi/America.
  • Absorb costs for repairs and part replacement. Note our contract is with the distributor, making reimbursement your responsibility.
  • Issue a new purchase order with new start date, rental rate and estimated usage.
  • Return a new  Proweld Rental Agreement properly completed and signed.
Asahi/America Will:
  • Not authorize transfer of its equipment unless the above procedure is followed.
  • Not authorize transfer of equipment between distributor without written authorization to Asahi rental department.
  • Will only offer the 6 months of onsite warranty from start date of original rental date, transfers after the 6-month warranty start date, should be avoided as the tool may require needed maintenance. Tools shipped site to site within the 6-month warranty, may lose the warranty as tool condition is unknown. Paid inspections and maintenance are available for tools with unknown condition and status.

III. EQUIPMENT RETURNS

Distributor Responsibility to:
  • Obtain an RMA # from Asahi/America’s rental department at 781-388-4623. Be advised, rental billing stops the day equipment reaches our loading dock.
  • Include on the distributor’s packing slip:
    • RMA number
    • Serial number of each machine
    • Description of item being returned
  • Equipment should be received back to Asahi/America within allotted timeframe from receipt of RMA number or RMA may be cancelled.
  • Absorb additional rental charges if equipment is not sent back within the prescribed time frame above.
  • Incomplete equipment returned without major working parts (clamps, heater, etc.) may be placed back on rental until all parts are received back.
  • Absorb freight charges on all equipment being returned.
  • Equipment must be properly packed up and travel locks applied to avoid any damage in transit that would be billed.

IV. REPAIRS AND PART REPLACEMENTS ON RETURNED EQUIPMENT

Asahi/America Will:
  • Assess all returned equipment for damage and missing parts.
  • Send a written evaluation of charges to the distributor and a notice to invoice. (Note: charges will include an hourly labor charge for repair when applicable)
  • Not bill for damages considered to be normal wear and tear such as:
    • Chains
    • Blades
    • Belts
    • Sprockets
    • etc.
  • Bill for re-coating heating elements that are returned having excessive scratches or surface damage.
  • Bill for damages caused by improper use or Insufficient pack-up by end user, causing damage in transit for return.

V. EQUIPMENT FAILURE IN THE FIELD

Distributor Responsibility to:
  • Advise Asahi/America rental department of the failure.
  • Call Equipment Manager, Dave Hume, 617-306-4182 to troubleshoot any functionality issues.
  • Issue a purchase order for the replacement part at its full value.
  • Request an RMA for return of the damaged part and return promptly.
Asahi/America Will:
  • Ship replacement parts, LTL or air freight to the job site, if available.
  • Evaluate damaged parts and determine if the failure resulted from contractor abuse or mechanics. If found to be abused upon return evaluation, then all associated freight will be back charged along with replacement costs of damaged goods.
  • Notify the distributor in writing of the results of our evaluation and of our intent to bill.
  • In the event of contractor abuse, all air or ground freight and all associated repair costs will be applied to the existing purchase order.
  • In the event the failure is attributed to machine quality, any charges for replacement parts will be credited in full.
  • Issue a billing replacement costs for equipment returned without its original shipping crate.

VI. PURCHASE OF RENTAL EQUIPMENT OPTION

  • Only applies to approved equipment for sale.
    Intent to buy must be agreed upon prior to shipping out.
  • A % of rental cost can be applied to the purchase of the rental unit, upon review at start of rental agreement.
  • Rental monies can only be applied to the purchase of the machine being rented on a continuous rental period. Tools returned and later re-rented do not apply.
  • Rental monies are monitored by the distributor.
  • No credits will be issued in the event rental fees exceed the cost of the machine out on job.
  • Ownership transfers once all rental invoices are paid in full.
  • All machines purchased under this option carry a 90-day warranty on defective parts and labor from date of purchase only if returned to Asahi for tune up evaluation (all freight and replacement parts are responsibility of the end user)

VII. BILLING PROCEDURES FOR RENTAL EQUIPMENT

  • Billings will be processed at the end of each month using the following bill structure below.
  • All purchase orders submitted will be billed at the standard rate. Any special pricing must be known at this time, as no credits will be offered.
  • Rental Rates: Daily rate includes weekends and holidays.
  • Rental billing starts the day tools get delivered.
  • Rental billing stops the day tools arrive back at our door.
  • Request RMA prior to shipping the tool back.
Rental Minimums:

ALL high purity equipment (SP-63, SP 110-S V3, SP 250-S V3, SP 315-S, SP 110-B, EF 110-B) as well as industrial tools 14″ and up will rent at a five-day minimum.

VIII. FREIGHT

Customer pays freight from factory to the jobsite and jobsite to factory. No exceptions. Asahi will attempt to combine machines with freight allowed orders but won’t guarantee this service.

IX. DELIVERY

Asahi/America requires five (5) working days to ship a machine from receipt of order. Consult Asahi/America for expedited delivery.

XI. WARRANTIES

All rental equipment is warranted for six (6) months of on-site usage. All tool failures within this six-month period are handled as indicated in Section V. After six months usage it is recommended that the equipment be returned for regular maintenance and warrantee renewal. Equipment held longer than six months without return is held at the renter’s risk.

Purchase of refurbished/used equipment carries a 90-day warranty when shipped from Asahi/America (does not apply to “rent to own” purchases).

Purchase of brand-new equipment carries a one-year limited manufacturing warranty.

WELDING STANDARDS AND TOLERANCES

Asahi/America offers prefabrication and assembly of custom thermoplastic headers, fittings, spools and skids. All thermoplastic welding is completed using available welding standards such as DVS (Deutscher Verband für Schweissen und Verwandte Verfahren), also known as the German Welding Society, and ASTM published standards. All fabrication is conducted on state-of-the-art thermoplastic welding equipment by trained technicians.

Standard tolerances for machined and fabricated products are as follows:

TESTING & INSPECTION

All fabricated components are inspected to ensure proper dimensions and specifications. The welds are visually inspected per industry and/or internal guidelines.

For customers who require additional testing, we can accommodate requests for hydrostatic, and pneumatic tests of initial spools, batch, or entire projects for an additional charge. Both pressure tests are performed with calibrated equipment and logged by quality control.

Maximum pressure for hydrostatic testing is 90 PSI.

Maximum pressure for pneumatic testing is 5 PSI.

Asahi’s chemical resistance manuals are the result of internal evaluation based on immersion tests, literature and accumulated field experience. The results listed are to be used as reference material only. No recommendation or guarantee of material selection is expressed or implied. Chemical resistance is affected by actual operating conditions such as pressure, temperature, stress, period of time, vibration and other flow related parameters. As a result, Asahi suggests that trial installations or test specimens be evaluated by the customer under actual process conditions.

PIPE AND FITTINGS WARRANTY

1.1 These Limited Representations and Warranties are applicable to all end-customers

purchasing industrial single & double wall products manufactured and distributed by Asahi/America, Inc. and are subject to Asahi’s standard Terms and Conditions of sale. Asahi warrants that for the warranty period, the products will be free from defects in materials and workmanship under normal and proper use, and will conform to manufacturer published specifications. This warranty is subject to the proper storage, handling, transportation, installation, use and maintenance of the products by both the installer and final customer. This warranty does not include defects due to normal wear and tear or deterioration.

1.2 Customer shall provide written notice of any non-conformities or visible defects regarding the products within 14 business days of discovery. Failure to provide prompt notice shall void this warranty.

1.3 The sole obligation under the foregoing warranty is, at Asahi’s discretion, to repair, to replace or exchange the product or to refund the purchase price. Any repaired, replaced or exchanged products shall be subject to the warranty set forth in 1.1 following the repair, the replacement or the exchange. If the Company has received notification from customer, and no defects of the product could be discovered, customer shall bear the costs that the company incurred as a result of the notice.

1.4 The company also makes no warranty that the supply of custom fabricated products manufactured according to customer’s specification do not infringe upon the intellectual property or other proprietary rights of any third party and customer is solely responsible for assuring that such products do not so infringe.

1.5 The “warranty period” for all industrial single and double wall products shall be 1 year from the date of invoice. Installation of Pipe and Fitting products must be performed by a properly trained and qualified installer utilizing proper welding equipment. Air-Pro® is warranted by their respective warranty policies.

1.6 The Company does not authorize any person or party to assume or create for it any other obligation or liability in connection with the products except as set forth herein.

Asahi Valves and Actuators

This warranty does not include defects due to normal wear and tear or deterioration.

1.2 Customer shall provide written notice of any non-conformities or visible defects regarding the products within 14 business days of discovery. Failure to provide prompt notice shall void this warranty.

1.3 The sole obligation under the foregoing warranty is, at Asahi’s discretion, to repair, to replace or exchange the product or to refund the purchase price. Any repaired, replaced or exchanged products shall be subject to the warranty set forth in 1.1 following the repair, the replacement or the exchange. If the Company has received notification from customer, and no defects of the product could be discovered, customer shall bear the costs that the company incurred as a result of the notice.

1.4 The “warranty period” for Asahi Valves and Asahi Actuators shall be 3 years from the date of invoice subject to the exclusion of the items detailed in 1.5 below, which shall be covered under our Warranty policy for a period of 1 year from the date of invoice.

1.5 Asahi’s warranty with respect to the following items will be covered for a period of 1 year from the date of invoice; Dymatrix™ valves, Actuated Dymatrix™ valves, pressure relief valves, Frank regulators, EM-Technik valves and actuated EM-Technik valves, Type 342 and 343 diaphragm valves, Air-Pro® ball valves, PE 100 Ball valves, Halar® (ECTFE) ball valves, PP natural ball valves, and globe control valves. All Actuators manufactured supplied by other manufacturers (Limitorque, Rotork, Century, etc.)

1.6 The Company does not authorize any person or party to assume or create for it any other obligation or liability in connection with the products except as set forth herein.

Air-Pro® Specially Formulated PE Piping System

Warranty and Limitations

1.1 These Limited Representations and Warranties are applicable to all end-customers purchasing Air-Pro® pipe and fittings supplied by Asahi/America Inc. (“Asahi”). Asahi warrants that for the warranty period, the products will be free from defects in materials and workmanship under normal use, and will conform to manufacturer published specifications. The right is reserved to deviate from published specifications due to the latest innovations and improvements in function, design and materials of the products. This warranty is subject to the proper storage, handling, transportation, installation, use and maintenance of Air-Pro® products by both the authorized installer and final customer. This warranty does not include defects due to normal wear and tear or deterioration.

1.2 Customer shall provide written notice of any non-conformities or visible defects regarding the products within 14 business days of discovery. Failure to provide prompt notice shall void this warranty.

1.3 The sole obligation under the foregoing warranty is, at Asahi’s discretion, to repair, to replace or exchange the product or to refund the purchase price. Any repaired, replaced or exchanged products shall be subject to the warranty set forth in 1.1 following the repair, the replacement or the exchange. If the Company has received notification from customer, and no defects of the product could be discovered, customer shall bear the costs that the company incurred as a result of the notice.

1.4 The company also makes no warranty that the custom products manufactured according to customer’s specification do not infringe the intellectual property or other proprietary rights of any third party and customer is solely responsible for assuring that such products do not so infringe.

1.5 The “warranty period” for Air-Pro® pipe and fittings shall be the greater of (a) a period of one (1) year from the invoice date and (b) if a final pressure test is successfully completed, documented and submitted to Asahi then the warranty period shall be ten (10) years from the date of certification. Installation of Air-Pro® products must be performed by a properly trained installer as authorized by Asahi/America.

Authorization to install Air-Pro® products will require the installer to possess a valid Air-Pro® welding certification performed and authorized on well- maintained approved equipment.

A pressure test must be performed to receive the Air-Pro® extended warranty. This test can be either: A. The pressure test as outlined in Section 3.2 A and B of the Air-Pro® Product Specification – OR

B. A pressure test criteria and procedure that meets all local codes and/or governing agencies, as specified by the system designer, that has been reviewed and accepted by Asahi/America.

The “warranty period” for Air-Pro® valves is one (1) year from the manufacturing date.

1.6 The Company does not authorize any person or party to assume or create for it any other obligation or liability in connection with the products except as set forth herein.
